Waterfall & O’Brien is an independent testing laboratory providing analytical chemistry services and diagnostic solutions to essential life quality industries through-out the U.K.
Our modus operandi is to identify, source and manage resources on a client basis.
Confidentiality
All information disclosed to Waterfall & O’Brien or which we learn about you, whether related to your products or to your commercial and business affairs, both in the UK and world-wide will remain confidential.
All confidential information held by Waterfall & O’Brien, on trust, will not be disclosed to third parties unless they are bound by a like obligation of confidentiality. Waterfall & O’Brien reserve the right to select and use external laboratories to complete analytical work, provided an obligation of confidentiality is held by Waterfall & O’Brien on behalf of our client. However, any objections to using a third party laboratory will be considered if prior notification is given.
Commencement & Termination
Unless otherwise agreed a signed written agreement or purchase order is required to commence work.
Work may be terminated by either party with written notification, giving reasons for termination, and allowing twenty one (21) days notice or expiry of the current work, whichever is shorter.
Payment for any work carried out during the notice period is required at the normal purchase price.
Expenses for the purchase or return of chemicals, excipients, samples, etc. must be paid for by the client.
Liabilities, Conditions & Warranties
Waterfall & O’Brien retains complete control over services rendered with the exception of events beyond our control, such as, accidents, delays, strikes or supplier problems.
Any and all reports, manuscripts and any other work products, whether completed or not, that are prepared or developed by Waterfall & O’Brien as a part of an agreement shall be the property of the client and shall be turned over to the client promptly at the clients request or at the termination of the project, whichever is the earlier.
No liability will be accepted for loss, damage or misuse of reports, however sustained, once accepted by the client.
Thirty (30) days technical support is granted to the clients’ contract address, after the completion of each project, to ensure smooth transfer of technology.
Reports etc. shall remain the property of Waterfall & O’Brien until the contract price has been fully paid and Waterfall & O’Brien shall be entitled to recover reports etc. at any time until the property has passed. Until the property passes the client shall take all reasonable steps to keep the reports etc. separate from other property, but shall not be prohibited from using them.
Prices
All services will be performed at the price and the VAT ruling on the date the purchase order or agreement is received.
All prices quoted are exclusive of Value Added Tax.
Quotations expressed in a proposal remain open for acceptance by the purchaser within the period stated in the quotation, or if no period is stated, within sixty (60) days of the quotation irrespective of when the quotation is received by the purchaser.
Waterfall & O’Brien reserve the right to make an additional charge to cover the cost of travel and accommodation that may be required to complete a project.
Payment
In the United Kingdom payment of the full invoice amount must be made within thirty (30) days of the invoice date. Thereafter Waterfall & O’Brien shall be entitled to recover interest on any unpaid amounts at 2% above the base rate of Lloyds Bank Plc. ruling at the date the purchase price is due.
Expenses, if any, will be invoiced monthly in arrears.
General
This contract shall be governed and construed according to English Law.
Waterfall & O’Brien reserves the right to change these conditions without prior written notification
